These Terms govern the license granted by SkinTech Ltd ("SkinTech", "we", "us") to the individual or business that completes payment ("Licensee", "you") for SkinTech Plus (the "Software"). By completing payment, you agree to be bound by these Terms in full.
Subject to payment of the applicable fee, SkinTech grants the Licensee a non-exclusive, non-transferable, revocable license to access and use the Software for the internal business purposes of a single business only. The license lasts for the Lifetime Access Period defined in clause 14, subject to termination under clause 7.
Access to the Software is controlled exclusively by a unique alphanumeric license key ("Access Credential") issued to the Licensee upon payment. The Licensee is solely responsible for the safekeeping, confidentiality, and security of their Access Credential. SkinTech has no visibility into, and no ability to detect, unauthorised possession or use of an Access Credential once issued.
In the event that the Licensee loses, misplaces, or otherwise becomes unable to produce their Access Credential, SkinTech is under no obligation whatsoever to issue a replacement, reset, or otherwise restore access, whether free of charge or otherwise. The Licensee acknowledges that their sole and exclusive remedy in such circumstances is to purchase a new license at SkinTech's then-current listed price. This clause applies regardless of the cause of loss, including but not limited to device failure, data loss, human error, or third-party interference, and regardless of whether the Licensee retains any other proof of purchase.
The Access Credential is licensed for use by one business only and may not be shared, sublicensed, sold, rented, transferred, or otherwise made available to any third party, in whole or in part, under any circumstances. The Licensee must not, and must not permit or assist any third party (including via any AI or automated coding tool) to: reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying calculations, or methodology of the Software; copy, replicate, or create a derivative or competing product based on the Software's design, functionality, workflow, branding, or copy; or extract, analyse, or repurpose the Software's code, formulas, or content for the purpose of building, training, or improving any other product or service. Any breach of this clause entitles SkinTech to immediately and permanently revoke the license without notice and without refund, in addition to any other remedy available at law, including injunctive relief.
The license fee is a single, one-time payment. Except where required by the Consumer Guarantees Act 1993 or Fair Trading Act 1986 (New Zealand), the Australian Consumer Law (where applicable), or other non-excludable statutory consumer rights, all fees are non-refundable, including where access is lost under clause 4 or revoked under clause 5.
SkinTech may suspend or terminate the Licensee's access immediately upon a breach of these Terms. Termination does not entitle the Licensee to a refund of fees already paid.
The Software is a planning and estimation tool only. Figures produced by the Software are estimates based on user-supplied inputs and do not constitute financial, tax, legal, or professional advice of any kind. The Software is provided "as is" without warranty of any kind, whether express or implied, to the maximum extent permitted by law.
To the maximum extent permitted by law, SkinTech's total aggregate liability arising out of or in connection with the Software or these Terms shall not exceed the amount actually paid by the Licensee for the license. SkinTech shall not be liable for any indirect, consequential, special, or incidental loss, including loss of profits or business opportunity, arising from use of, or inability to access, the Software.
All rights, title, and interest in and to the Software, including all underlying code, design, calculations, methodology, and documentation, remain the exclusive property of SkinTech Ltd. No rights are granted to the Licensee other than the limited license expressly set out in clause 2, and nothing in these Terms grants any right to reproduce, adapt, or create derivative works from the Software, whether by manual means or with the assistance of any artificial intelligence or automated tool. The restrictions in clause 5 apply regardless of the technology used to attempt them.
Collection and use of personal information is governed by SkinTech's Privacy Policy, available within the Software, which forms part of these Terms by reference.
These Terms are governed by the laws of New Zealand, and the parties submit to the exclusive jurisdiction of the courts of New Zealand, regardless of the Licensee's location or the jurisdiction from which the Software is accessed.
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force. These Terms constitute the entire agreement between the parties regarding the Software and supersede any prior representations. Questions may be directed to sales@skintech.co.nz.
References to "lifetime access" (or similar wording) mean access for as long as SkinTech Plus is offered by SkinTech or its successor (the "Lifetime Access Period"). They do not mean the lifetime of the Licensee or of any person, and do not guarantee that the Software will be offered indefinitely.
Sale or transfer: SkinTech may sell or transfer SkinTech Plus, or the business that operates it, to another person. If it does, the Licensee's access under these Terms transfers to the new owner, who will be bound by these Terms and must continue to honour the Licensee's access for the remainder of the Lifetime Access Period.
Discontinuation: if SkinTech decides to stop offering SkinTech Plus, it will give the Licensee at least 90 days' written notice (by email to the address used at purchase) and, during that period, will make available an export of the Licensee's data in a commonly used format. Access ends at the end of the notice period.
Nothing in this clause limits any right the Licensee has under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, the Australian Consumer Law, or any other non-excludable statutory consumer right.
